AUTOFIN TERMS OF SERVICE

These Terms of Service ("Terms") govern access to and use of the AUTOFIN website, applications, platform, data, content, analysis tools, signals, recommendations, AI assistant, notifications, paid service plans, and related features (the "Platform" or "Services").

AUTOFIN is a product/platform operated by VTN Technology Joint Stock Company, tax code 0317867296, address 82A Vuon Lai, Phu Tho Hoa Ward, Ho Chi Minh City, Vietnam, unless otherwise announced on the Platform.

By accessing, registering an account, signing in, making a payment, or continuing to use the Services, Users confirm that they have read, understood, and agree to be bound by these Terms. If Users do not agree with any provision, they should stop using the Services.

1. Definitions

In these Terms:

"AUTOFIN", "we", or "us" means the operator of the AUTOFIN Platform.
"User", "you", or "customer" means any individual or organization that accesses or uses the Services.
"AUTOFIN Content" includes market data, charts, price boards, reports, news, signals, recommendations, analysis results, AI-generated content, notifications, interfaces, source code, designs, documents, and all other content on the Platform.
"Investment recommendation" means opinions, signals, price zones, buy/sell/hold/wait-to-buy/wait-to-sell/close-position statuses, targets, stop-loss levels, reference allocations, or analysis content related to securities, derivatives, crypto assets, or other financial instruments.
"Crypto assets" or "crypto" means crypto-related assets as recognized under Vietnamese law from time to time, including market data, coin information, and digital asset groups displayed by AUTOFIN for reference.

2. Scope of Services

AUTOFIN provides a technology platform that helps investors access information, analysis, and investment recommendations. Current feature groups may include:

Vietnamese stock market data, market indexes, price boards, trading data, liquidity, cash flow, active buying/selling, foreign trading, proprietary trading, and sector data.
Technical charting tools, indicators, TradingView, or other integrated charts.
Stock signals and recommendations, including investable status, risk, good hold status, awaiting recommendation status, buy zones, targets, stop-loss levels, reference NAV allocation, and recommendation history.
Data, updates, and analysis for derivatives, including futures contracts, bid/ask, trading ranges, support/resistance zones, and intraday reference strategies.
Crypto market data such as prices, market capitalization, volume, movements, categories, charts, and coin information.
News, corporate events, reports, fundamental data, stock search, saved news, and interactions with news content.
AI assistant/Finity AI, chat history, conversational responses, question limits, signal notifications, and system notifications.
Account profiles, service plans, payments, payment history, support, complaints/feedback, and related features.

AUTOFIN may change, add, limit, suspend, or discontinue part of the Services for upgrades, maintenance, legal compliance, operational risk handling, or protection of AUTOFIN and Users' lawful interests.

3. Nature of Recommendations and Investment Service Limits

AUTOFIN provides information, data, analysis, signals, and investment recommendations only within the scope permitted by law and under valid licenses, contracts, or agreements if required by law.

AUTOFIN does not provide, perform, or undertake the following activities for Users:

Placing, entering, amending, canceling, or transmitting orders to trade securities, derivatives, crypto assets, or any financial assets.
Trading on behalf of Users, investing on behalf of Users, managing accounts, managing portfolios, accepting investment entrustment, accepting authorization to decide buy/sell/hold actions, or making investment decisions for Users.
Securities brokerage, proprietary securities trading, securities underwriting, securities custody, securities clearing/settlement, unless AUTOFIN clearly discloses the corresponding license or lawful cooperation arrangement.
Organizing a crypto-asset trading market, operating a crypto-asset exchange, custodial wallet, custody service, brokerage, transfer, issuance, offering, or payment by crypto assets, unless permitted by a competent authority and clearly announced by AUTOFIN in writing.
Receiving Users' money, securities, crypto assets, private keys, trading account passwords, or assets for investment, custody, management, or trading.

Terms such as "BUY", "SELL", "WAIT TO BUY", "WAIT TO SELL", "CLOSE", "place a trade", "position", "long", "short", "buy zone", "target", "stop loss", or similar terms on the Platform are only descriptions of signals, analysis statuses, reference strategies, or recommendation history. These terms do not mean that AUTOFIN has placed, is placing, or will place orders, transmit orders, match orders, or execute trades for Users.

Users understand that any recommendation on the Platform is not a profit commitment, does not guarantee avoidance of losses, does not replace Users' independent decisions, and does not replace legal, tax, accounting, personal finance, or personalized investment advice from qualified organizations or individuals under applicable law.

4. Investment Risks and User Responsibility

Investing in securities, derivatives, crypto assets, and other financial instruments always involves high risk. Asset prices may fluctuate sharply due to market conditions, liquidity, interest rates, exchange rates, corporate information, political and economic events, legal changes, system incidents, market sentiment, third-party activity, or factors beyond AUTOFIN's control.

Users confirm and agree that:

Users independently assess their investment objectives, financial capacity, risk appetite, investment horizon, tax obligations, legal obligations, and suitability of each transaction.
Users independently decide whether to buy, sell, hold, close positions, use leverage, trade derivatives, trade crypto assets, or take any investment action.
Users are fully responsible for all investment actions, trades, non-trades, timing, volume, prices, chosen accounts/exchanges/securities companies/service providers, and all consequences arising from those decisions.
To the maximum extent permitted by law, AUTOFIN is not liable for any loss, decrease in asset value, lost opportunity, lost expected profit, capital cost, tax obligation, transaction fee, interest expense, direct, indirect, special, incidental, or consequential damage arising from Users' investment decisions or actions.

Past performance, simulated returns, backtest results, historical data, signal statistics, or illustrative examples do not guarantee future results.

5. Accounts, Eligibility, and Security

Users must be at least 18 years old, have full civil act capacity, or be a lawful representative of an organization using the Services. When registering or using the Services, Users undertake to provide accurate, updated, and lawful information.

Users are responsible for securing their accounts, passwords, devices, authentication codes, login sessions, social accounts used for sign-in, and all activity arising from their accounts. Users must immediately notify AUTOFIN if they discover unauthorized access, loss of control, or signs of security risk.

AUTOFIN may refuse registration, temporarily lock, restrict, terminate, or delete an account if there is a reasonable basis to believe that the User has violated these Terms, violated law, infringed third-party rights, created risk to the system, or used the Services for unlawful purposes.

6. Service Plans, Payments, and Refunds

Some features may require registration for a paid service plan. Fees, terms, benefits, access limits, and conditions of each plan are announced on the Platform or in the corresponding notice at the time Users register.

Users are responsible for checking plan information, prices, terms, taxes, fees, payment methods, and renewal policies before payment. Payment transactions may be processed by banks, e-wallets, payment gateways, or independent payment service providers. AUTOFIN does not store full card information or sensitive payment authentication information, unless permitted by law and necessary for operating the Services.

Unless otherwise announced or required by law, fees paid for Services that have been activated or used are non-refundable. AUTOFIN may consider refunds, extensions, or service credits in cases of serious technical errors attributable to AUTOFIN or under customer care policies from time to time.

AUTOFIN does not accept crypto assets, cryptocurrencies, or any unlawful means of payment for the Services, unless Vietnamese law permits it and AUTOFIN officially announces it in writing.

7. Market Data, Third-Party Content, and System Availability

AUTOFIN Content may be generated from internal data, algorithmic models, AI systems, data providers, exchanges, securities companies, issuers, regulators, portals, charting platforms, news providers, or other public sources.

AUTOFIN endeavors to maintain the accuracy, completeness, timeliness, and continuity of the Services, but does not commit that all data, signals, prices, charts, event information, corporate information, crypto information, AI results, or other content are always accurate, complete, uninterrupted, timely, or error-free.

The Services may be interrupted, delayed, inaccurate, or unavailable due to maintenance, upgrades, technical errors, connection loss, data provider incidents, infrastructure incidents, cyberattacks, API changes, force majeure events, or requests from competent authorities.

Users must independently verify important information from official sources before making investment decisions or carrying out any transactions.

8. AI Assistant and Algorithmic Models

AUTOFIN's AI assistant, chatbot, analysis models, and algorithms may generate content based on input data, market data, historical data, model rules, language models, or third-party information sources. AI-generated content may be incomplete, outdated, out of context, inaccurately interpreted, or unsuitable for Users' personal circumstances.

Users should not enter passwords, OTPs, private keys, trading account information, personal data of others, or confidential information that Users are not authorized to share into the AI assistant. Users must independently verify all AI responses before use.

9. Securities and Derivatives-Specific Provisions

Users understand that securities activities in Vietnam are governed by the Law on Securities, guiding documents, and regulations of regulators, stock exchanges, the Vietnam Securities Depository and Clearing Corporation, securities companies, and related organizations.

AUTOFIN is not a venue for opening securities trading accounts, does not receive orders, does not transmit orders, does not guarantee order matching, does not provide securities custody, and does not handle Users' money or securities. All securities or derivatives transactions must be carried out directly by Users through licensed organizations and in accordance with applicable law.

Users may not use the Services to conduct or support insider trading, market manipulation, artificial supply or demand, spreading false information, publishing misleading information, soliciting unlawful transactions, or any prohibited conduct in the securities sector.

10. Crypto Asset-Specific Provisions

Crypto content on AUTOFIN is provided only for reference data, information, charts, statistics, and analysis. AUTOFIN does not organize a crypto-asset trading market, operate an exchange, issue tokens, offer crypto assets, provide custody, transfer, brokerage, wallet management, or guarantee the ability to buy/sell any crypto asset.

Users are responsible for understanding and complying with Vietnamese law and relevant foreign laws when accessing crypto assets. During Vietnam's pilot implementation of a crypto-asset market, Users should only use organizations, methods, and trading channels permitted by law. Users may not use the Services to advertise, broker, solicit, transfer money, make payments, launder money, finance terrorism, commit fraud, or participate in unlawful crypto-asset exchanges or organizations.

11. Prohibited Conduct

Users may not:

Violate Vietnamese law, the law where Users reside, or any regulation applicable to securities, derivatives, crypto-asset trading, anti-money laundering, taxation, personal data protection, cybersecurity, or intellectual property.
Use the Services for market manipulation, insider trading, fraud, spreading false information, unlawful investment solicitation, pyramid schemes, unlawful capital raising, or concealment of money/assets origin.
Copy, bulk extract, resell, sublicense, distribute, publish, transmit, create derivative products from, or commercially exploit AUTOFIN Content without AUTOFIN's written consent.
Interfere with, reverse engineer, decrypt, exploit vulnerabilities, automate access, scrape, crawl, spam, launch denial-of-service attacks, upload malware, or otherwise affect the system.
Share paid accounts, resell accounts, rent accounts, or use another person's account without permission.
Collect personal data of others on the Platform or send third-party personal data to AUTOFIN without lawful authority.

12. Intellectual Property

The Platform, AUTOFIN Content, interfaces, designs, trademarks, logos, source code, models, algorithms, data structures, documents, images, text, charts, and other components are owned by or lawfully licensed to AUTOFIN or its licensors.

Users receive a limited, non-exclusive, non-transferable, revocable right to access and use the Services only for lawful personal or internal purposes. Nothing in these Terms transfers intellectual property ownership to Users.

13. Personal Data Protection

The collection, use, storage, sharing, and protection of Users' personal data are carried out under AUTOFIN's Personal Data Protection Policy and Vietnamese personal data protection laws.

By using the Services, Users agree that AUTOFIN may process personal data necessary to operate accounts, provide the Services, personalize experiences, send notifications, process payments, support customers, secure the system, comply with law, and perform the purposes stated in the Personal Data Protection Policy.

14. Suspension, Termination, and Service Changes

AUTOFIN may suspend, restrict, or terminate Users' access if:

Users violate these Terms, the Personal Data Protection Policy, or applicable law.
Continued provision of the Services may create security, legal, operational, or other risks affecting other Users.
AUTOFIN needs to comply with requests from state authorities, courts, payment organizations, data partners, or legal requirements.
The relevant Services or features are discontinued, changed, or no longer technically, commercially, or legally feasible.

Suspension or termination of the Services does not affect obligations that arose before the suspension or termination.

15. Disclaimer and Limitation of Liability

To the maximum extent permitted by law, the Services and AUTOFIN Content are provided on an "as is" and "as available" basis. AUTOFIN makes no commitment or warranty that the Services will meet investment expectations, generate profits, avoid losses, be uninterrupted, error-free, risk-free, or suitable for each User's circumstances.

To the maximum extent permitted by law, AUTOFIN is not liable for:

Investment decisions, trading actions, non-trading actions, investment results, losses, costs, taxes, fees, interest, or obligations arising from Users' actions.
Inaccuracies, delays, omissions, interruptions, or errors in market data, third-party data, charts, APIs, notifications, signals, recommendations, or AI content.
Losses caused by Users' misuse of the Services, misunderstanding of content, account sharing, device loss, password exposure, inaccurate information entry, or failure to secure accounts.
Damage arising from platforms, services, websites, payment gateways, data providers, securities companies, exchanges, crypto-asset organizations, or other third parties.
Force majeure events, including natural disasters, war, epidemic, legal changes, electricity/telecommunications/internet incidents, cyberattacks, strikes, orders from state authorities, or events beyond reasonable control.

AUTOFIN's total liability for any claim related to the Services, if any and if limitation is not prohibited by law, will not exceed the total service fees paid by the User to AUTOFIN during the 03 months immediately preceding the event giving rise to liability.

Nothing in these Terms excludes or limits AUTOFIN's liability for fraud, intentional violation, breach of personal data protection obligations, or other liability that law does not allow to be excluded or limited.

16. Indemnification

Users agree to defend, indemnify, and hold harmless AUTOFIN, its managers, employees, agents, partners, and licensors from any claims, demands, losses, costs, liabilities, or reasonable expenses arising from Users' violation of these Terms, violation of law, infringement of third-party rights, or misuse of the Services.

17. Changes to Terms

AUTOFIN may update these Terms from time to time to reflect changes to the Services, operating model, legal requirements, or security practices. The updated version will be published on the Platform and takes effect from the date stated in that version, unless law requires another method.

Users' continued use of the Services after the updated Terms become effective is deemed acceptance of the updated version.

18. Governing Law and Dispute Resolution

These Terms are governed by and interpreted in accordance with the laws of Vietnam.

The parties will prioritize resolving disputes through good-faith negotiation within 30 days from the date one party receives a valid dispute notice. If the dispute cannot be resolved through negotiation, it will be submitted to a competent court in Ho Chi Minh City, Vietnam, unless mandatory law provides otherwise.
